2. Acceptance of Terms

By accessing this website or by engaging our services, you confirm that you have read, understood, and agreed to these Terms & Conditions. If you do not agree to any part of these terms, please do not use this website or our services.

You confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. Where you act on behalf of an organisation, you confirm that you have authority to bind that organisation.

3. Service Description

Talwynd provides professional advisory services in the field of project and program management. Our three service offerings are:

All services are advisory in nature. Talwynd does not take on management authority within your organisation. Services are available to clients based in Thailand and, where operationally feasible, to internationally based organisations.

4. Enquiries and Engagements

Submitting the contact form on this website constitutes an enquiry only and does not create a binding service agreement. An engagement is confirmed only upon written confirmation from Talwynd and, where applicable, receipt of payment.

Talwynd reserves the right to decline any enquiry at its discretion, without obligation to provide reasons.

5. User Responsibilities

When using this website or engaging our services, you agree to:

• Provide accurate information in all communications and enquiries.
• Use the website and its content only for lawful purposes.
• Not attempt to disrupt, damage, or gain unauthorised access to this website or its systems.
• Not reproduce, redistribute, or resell materials provided by Talwynd without prior written permission.
• Not misrepresent your identity or your authority to act on behalf of an organisation.

Deliverables produced during a service engagement (such as plan outlines, milestone lists, tracking templates, and written guidance) are provided to you under a limited, non-exclusive licence for your internal organisational use. This licence does not include the right to resell, sub-licence, or distribute these materials to third parties.

Talwynd's methods, frameworks, and approaches remain the intellectual property of Talwynd at all times.

7. Payment Terms

• Currency. All prices are quoted in Thai Baht (฿) inclusive of applicable Thai VAT unless stated otherwise.
• Payment. Payment terms will be confirmed in the engagement confirmation. For single-session services, payment is typically required in advance. For ongoing engagements, payment is due at the start of each period unless agreed otherwise.
• Cancellation. If you wish to cancel a confirmed session with less than 48 hours' notice, a cancellation fee may apply. For ongoing engagements, either party may end the arrangement with 14 days' written notice.
• Scope changes. Any material changes to agreed scope will be discussed and confirmed in writing before additional charges apply.

8. Service Delivery Terms

Services will be delivered in accordance with the scope agreed at the time of engagement. Talwynd will communicate clearly about timelines, deliverables, and any changes. We aim to respond to all client communications within two business days.

Sessions may be conducted in person (Bangkok) or remotely via agreed communication tools. Travel costs, if applicable, will be agreed in advance.

Effective delivery depends on timely access to relevant information and personnel from the client side. Significant delays caused by the client may affect delivery timelines and Talwynd will communicate these promptly.

9. Disclaimers

The information on this website is provided for general informational purposes only. It does not constitute legal, financial, or regulatory advice of any kind.

Talwynd's services are advisory and educational in nature. While we bring careful thinking and structured support to our engagements, outcomes depend on many factors, including your organisation's decisions and execution capacity. We do not make representations about specific outcomes.

This website is provided on an "as available" basis. We do not warrant that it will be uninterrupted or free of errors, and we are not responsible for any loss resulting from reliance on information found here.

10. Limitation of Liability

To the fullest extent permitted by Thai law, Talwynd's total liability to you in connection with these terms or any services shall not exceed the amount paid by you for the relevant service in the three months preceding the event giving rise to the claim.

Talwynd is not liable for any indirect, consequential, incidental, or special loss, including loss of data, business interruption, or loss of opportunity, even if we were advised of the possibility of such loss.

Nothing in these terms limits liability for fraud, death, or personal injury caused by our negligence, or for any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold Talwynd harmless from any claims, damages, costs, or expenses (including reasonable legal fees) arising from your misuse of the website, your breach of these terms, or any unlawful or inappropriate conduct on your part.

12. Termination

Either party may end a service engagement by giving 14 days' written notice. For single-session services, cancellation terms are as described in Section 7.

Talwynd reserves the right to suspend or terminate access to the website or services immediately if a client acts in breach of these terms, engages in conduct harmful to Talwynd, or fails to make payment as agreed.

Upon termination, any outstanding fees for work completed remain due. Provisions relating to intellectual property, disclaimers, limitation of liability, and governing law survive termination.

13. Dispute Resolution

If a dispute arises, we encourage you to contact us first at [email protected]. We will make a reasonable effort to resolve matters informally within 30 days of written notice.

If informal resolution is not reached, disputes shall be referred to mediation under Thai law before any court proceedings are initiated.

These terms are governed by the laws of the Kingdom of Thailand. The courts of Bangkok shall have exclusive jurisdiction over any disputes not resolved through the above process.

14. General Provisions

• Entire agreement. These terms, together with any written engagement confirmation, constitute the full agreement between you and Talwynd for the matters described.
• Severability. If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force.
• Waiver. Failure by either party to enforce any provision does not constitute a waiver of the right to enforce it later.
• Assignment. You may not assign your rights under these terms without Talwynd's prior written consent. Talwynd may assign rights to a successor entity without notice.
• Notices. Formal notices should be sent to [email protected] or to the address in Section 16.

15. Changes to These Terms

We may update these Terms & Conditions from time to time. When we do, the "Last updated" date at the top of this page will change. For material changes, we will make reasonable efforts to notify active clients.

Continued use of our website or services after a change is published constitutes acceptance of the updated terms.
